These Terms govern all software engineering, AI development, and product delivery engagements with Tech Flute, a sole proprietorship owned and operated by Yash Chopade, registered at Washim, Maharashtra and operating from Pune, Maharashtra. By engaging our services, you agree to these Terms in full.

1. Scope of Services

Tech Flute provides software engineering, AI development, and product delivery services. The exact scope, deliverables, timeline, and pricing for each engagement will be documented in a written Scope of Work (SOW) agreed upon by both parties before any work commences. No verbal commitments are binding.

2. Payments and Invoicing
We operate with transparency and fairness when it comes to payments. Most projects require a non-refundable advance payment — typically 25% to 30% — before we begin. The remaining balance is due upon final delivery of IP. For larger or long-term projects, milestone-based payments may be set up and included in the proposal. Payments are accepted via UPI, bank transfer, and other mutually agreed methods. If GST registered, all invoices will include applicable GST as required under Indian tax law. Clients requiring a GST invoice should provide their GSTIN at the time of engagement. Late payments may result in delayed deliverables, temporary suspension of work, or a late fee. We appreciate prompt and clear communication around any billing questions.
3. Cancellation and Termination
You may cancel a project at any time, but please be aware that the initial deposit is non-refundable. If cancellation happens after work has begun, the client will be invoiced for all work completed up to that point, including research, design time, and any expenses incurred. In rare cases, Tech Flute may choose to terminate a project due to non-responsiveness, abusive behavior, or failure to meet agreed payment terms. All completed work and intellectual property rights remain with us until payment is fully settled.

4. Confidentiality & NDA
We understand that during a project, you may share private business information, creative ideas, or strategic materials with us. We treat all such information as confidential and will never disclose it to third parties without your consent. Likewise, we expect you to respect our creative processes and internal methods. If needed, we are happy to sign a mutual Non-Disclosure Agreement (NDA) to protect sensitive project information and maintain a trustworthy working relationship.
5. Intellectual Property & Source Code
Upon receipt of full payment, the client is granted full ownership of all custom code and deliverables created specifically for their project under that engagement.

- →Tech Flute retains ownership of all pre-existing tools, frameworks, and proprietary methodologies
- →Open-source components remain governed by their respective licences
- →Tech Flute may reference the project name and category in its portfolio unless the client requests otherwise in writing
- →No IP transfer occurs until all outstanding invoices are settled in full
6. Limitation of Liability
To the maximum extent permitted under applicable Indian law, Tech Flute's total liability to the client for any claim arising from or related to the services shall not exceed the total fees paid by the client for the specific project or engagement to which the claim relates. Tech Flute shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, loss of data, or loss of business opportunity, even if advised of the possibility of such damages.
7. Warranty Disclaimer
All services are provided "as is" and "as available." While Tech Flute takes every reasonable measure to deliver high-quality, production-ready software, we do not warrant that deliverables will be error-free or uninterrupted beyond what is explicitly agreed in the Scope of Work. Post-launch support obligations are limited to the period specified in the engagement agreement.
8. Force Majeure
Tech Flute shall not be held liable for delays or failure to perform due to circumstances beyond our reasonable control, including acts of God, government actions, internet outages, or power failures. In such cases, we will notify the client promptly and resume delivery as soon as reasonably practicable.
9. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Tech Flute is a sole proprietorship owned and operated by Yash Chopade, registered at Washim, Maharashtra and operating from Pune, Maharashtra, trading as "Tech Flute." Any disputes arising from services rendered shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, being the place where services are delivered and contracts are performed.
Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for 30 days. If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996.
10. Amendments
Tech Flute reserves the right to update these Terms at any time. Changes will be published on this page with an updated date. Continued engagement after any update constitutes acceptance of the revised Terms. Clients with active engagements will be notified of material changes via email.
